General Terms and Conditions of Use and Sale
1. Purpose of the efashion-paris.com Website
Easy Line works with fashion professionals and aims to bring together wholesalers (hereinafter, the "Wholesalers-Sellers") and ready-to-wear retailers (hereinafter, the "Retailers-Buyers").
Through its website www.efashion-paris.com (hereinafter, the "Site"), Easy Line offers:
- to Wholesalers-Sellers of men's, women's, and children's ready-to-wear, leather goods, footwear, and fashion accessories, who have previously signed an intermediation contract with Easy Line, the possibility to display and sell their items on the Site (hereinafter, the "Items");
- to Retailers-Buyers who have previously created a buyer account on the Site, the possibility to purchase directly on the Site the Items offered by the Wholesalers-Sellers.
It is expressly recalled that Easy Line acts solely as an intermediary and is in no way a reseller of the Items, and does not become, at any time, the owner of the Items.
2. Purpose and Scope of Application
These General Terms and Conditions of Use and Sale aim to inform Retailers-Buyers of the terms and conditions under which Wholesalers-Sellers proceed with the sale of Items on the Site and the delivery of ordered Items (hereinafter, the "General Conditions").
Any professional wholesaler wishing to sell their Items on the Site must first contact Easy Line. Indeed, these General Conditions are not intended to govern the relationship between Easy Line and the Wholesalers-Sellers.
The General Conditions apply, without restriction or reserve, to all sales of Items offered on the Site.
Consequently, the fact that a Retailer-Buyer orders an Item offered for sale on the Site implies full and complete acceptance of the General Conditions, which the Retailer-Buyer acknowledges having read prior to placing their order.
The term user designates any person browsing the Site, whether they are Retailers-Buyers, Wholesalers-Sellers, or any other internet user visiting the publicly accessible pages of the Site (hereinafter, "Users").
3. Purchase of Items on the Site
Access to the buyer account is exclusively reserved for fashion/home/lifestyle professionals legally capable of entering into contracts under French law.
Opening an account is free of charge and carries no obligation to purchase on the Site.
Easy Line reserves the right to refuse any person who does not meet the admission criteria.
3.1. Registration of Retailer-Buyers on the Site
To access the functionalities of the Site, the Retailer-Buyer must register on the Site via the "Become a buyer" icon located at the top right of the Site's homepage.
A registration form will appear on which the Retailer-Buyer must provide the following information:
- Company name
- Valid intra-community VAT number on VIES or valid SIRET number on Avis Situation Sirene
- KBIS (Company registration certificate)
- Password
- First and last name of the primary contact
- Delivery and billing address
- Sectors of activity
- Telephone number
Once the registration request has been submitted, Easy Line verifies the compliance of the information provided and either approves or rejects the registration request. Easy Line may potentially contact the Retailer-Buyer who submitted a registration request to ask for additional information if necessary.
If the Retailer-Buyer does not meet the admission criteria, they will be informed that their registration request has been rejected and will be provided with the reasons.
Otherwise, an account activation confirmation will be sent to the Retailer-Buyer via the provided email address. This email summarizes their email address (login) as well as their password so that the Retailer-Buyer can log into their account subsequently.
The registered Retailer-Buyer is the only person authorized to use their account using the username and password created during their registration on the Site.
This information, for which the Retailer-Buyer remains responsible, will be required at each session login and must under no circumstances be shared by the Retailer-Buyer with a third party or used by a third party.
The Retailer-Buyer agrees not to use any accounts other than the account initially created by them, whether under their own identity or that of a third party, and agrees not to provide fictitious or incorrect details or information. They also agree to inform Easy Line of any fraudulent use of their account by a third party as soon as they become aware of it.
3.2. Account Management and Use by the Retailer-Buyer
Once registered on the Site, each Retailer-Buyer has access to a private space allowing them to:
- consult and modify information concerning them or concerning orders placed on the Site via the "my account" tab;
- proceed with online purchases via the "my cart" tab.
3.3. Placing an Order on the Site
The procedure for placing orders on the Site involves the following steps:
- The Retailer-Buyer selects one or more Items on the Site by clicking on the "Add to cart" icon; the selected Item is then added to the shopping cart;
- A confirmation window allows the Retailer-Buyer to determine the quantity of Items they wish to purchase from each Wholesaler-Seller; they can then choose to continue shopping or to finalize their order;
- The Retailer-Buyer enters the delivery and billing address and selects a delivery method;
- The Retailer-Buyer views the information entered and the summary of their order, validates the order, and declares acceptance of the General Conditions by clicking on the "I have read and accepted the General Conditions" box;
- The Retailer-Buyer finalizes their order by entering the required information according to the selected payment method;
- By clicking on the "Validate order" icon, the Retailer-Buyer proceeds to the final validation of the order;
- Upon final validation of the order, Easy Line will send a summary of the order to the Retailer-Buyer by email. The details of the order will also be viewable on the Site under the "My Account" section.
3.3.1. Availability of Items
The offers presented on the Site are valid as long as they are visible on the Site and within the limit of available stocks. The indications regarding the availability of Items come from the Wholesalers-Sellers.
Easy Line cannot be held responsible in the event of unavailability of the ordered Items. In the event of unavailability of the ordered Items after the order has been placed:
- The Retailer-Buyer will be informed as soon as possible by email;
- The Retailer-Buyer will have the choice to request:
- a refund of the sums corresponding to the amount of the unavailable Item;
- the replacement of items equivalent to the amount of the stock shortages (from the same Wholesaler-Seller). It will be impossible to replace items from another Wholesaler-Seller.
3.3.2. Delivery
Delivery can only take place once the order has been validated by the Retailer-Buyer and the payment has been successfully received by Easy Line in its capacity as an intermediary.
The Site offers three delivery methods:
- Easy Line organizes transport with its partners (UPS, DPD, Colissimo, OCX, GPX). The Retailer-Buyer pays the transport costs and can track the delivery from their account space.
- The Retailer-Buyer organizes the transport. They are responsible for it and pay the chosen carrier.
- The Retailer-Buyer collects their merchandise from the Wholesaler-Seller. A proof of collection must be filled out and signed.
Easy Line shall under no circumstances be held responsible for delivery delays or disputes with carriers.
3.3.3. Claims with defect / returns
Claims must be submitted to Easy Line within 7 calendar days following delivery. After this period, Efashion will no longer accept or process the claim.
3.3.4. Returns / claims without defect
Professional buyers do not benefit from the legal right of withdrawal applicable to consumers. Easy Line nevertheless grants a return without defect under certain conditions:
3.3.5. Prices of Items
Prices are indicated in euros, excluding taxes and delivery costs. The prices appearing on the Item description sheet prevail over any other prices. Prices are non-negotiable.
3.3.6. Terms of Payment
Accepted methods: credit card, American Express, bank transfer, HERO financing plan (France only).
Easy Line uses a secure payment tool and never has access to the banking information of Retailers-Buyers.
3.3.6.1. 30-DAY DEFERRED PAYMENT OPTION via BILLY
Certain orders placed on the Site may be paid using a thirty (30) day deferred payment solution provided by the third-party financing provider Billy. Use of this payment solution is exclusively reserved for professional Retailer-Buyers acting within the scope of their commercial activity and meeting the eligibility and creditworthiness criteria independently defined by Billy.
The acceptance or refusal of a deferred payment application is under the exclusive and discretionary competence of Billy. Easy Line does not intervene at any time in the risk analysis, approval, refusal, suspension, or termination of this financing service.
Service and technical processing fees:
The Retailer-Buyer expressly acknowledges and accepts that using the Billy deferred payment solution results in the application of specific service fees invoiced by Easy Line. These fees are collected in exchange for administrative costs, technical maintenance of application flows, and the provision of the payment infrastructure on the Site.
- The amount of these service fees is fixed at 2.5% of the total amount of the order.
- The exact amount of these fees is displayed clearly, distinctly, and transparently before the final validation of the order and confirmation of the choice of this payment method by the Retailer-Buyer.
Non-refund rules for fees:
Unless mandatory contrary legal provisions apply between professionals:
- The 2.5% service fees related to deferred payment are definitively acquired by Easy Line and remain strictly non-refundable once the transaction is validated by Billy and the order is confirmed on the Site.
- These fees remain fully due and retained by Easy Line in the event of cancellation of the order after its validation, transportation disputes, claims, or the exercise of the right to return Items (whether it is a return with or without defect as referred to in Articles 3.3.3 and 3.3.4).
However, the service fees will not be applied to or required from the Retailer-Buyer solely in the following cases:
- In the event of a proven technical failure of the payment prior to order confirmation;
- In the event of a final refusal to grant deferred payment by Billy during order placement.
Independence of obligations and exclusion of liability:
The Retailer-Buyer acknowledges that the 30-day payment due dates, direct debit methods, collection procedures, as well as any late payment penalties or default interest, fall within the direct and exclusive contractual relationship between the Retailer-Buyer and Billy. By opting for this method of payment, the Retailer-Buyer unreservedly accepts Billy's own general terms and conditions.
Easy Line acts solely as a technical intermediary for connecting parties and does not itself provide any credit, financing, loan, or payment institution service within the meaning of the French Monetary and Financial Code. Any claim or dispute regarding the terms of this third-party deferred financing must be sent directly to Billy's support.
3.3.7. Proof
The data stored in Easy Line's information system has probative force regarding the purchases made by the Retailer-Buyer.
4. Personal Data
Easy Line collects personal data in compliance with French legislation and CNIL declaration No. 1519766.
4.1. Methods of Data Collection
Collection takes place during registration and when placing orders.
4.2. Purposes of Data Collection
Service management, sending information, statistics, and anonymized profiles.
4.3. Rights of Access, Rectification, Erasure, and Objection
Retailers-Buyers can exercise their rights by phone (01 53 27 91 08) or email (service@efashion-paris.com).
4.4. Data Recipients
Data may be transmitted to partners for:
- Order processing
- Fraud detection
- Marketing
4.5. Cookies
Easy Line uses cookies for navigation and statistics. Users can configure their browser to refuse cookies.
5. Intellectual Property
5.1. Hypertext Links
The inclusion of links to other sites does not engage Easy Line and requires its prior agreement for any link leading to the Site.
5.2. Ownership of Rights
All elements of the Site are protected and remain the exclusive property of Easy Line and/or its partners.
5.3. Trademarks
Trademarks and logos are registered, and their reproduction without authorization is prohibited.
6. Liability
6.1. Liability of Efashion
Easy Line acts solely as an intermediary and is never the owner of the Items. Its liability is limited to an obligation of means.
6.2. Liability for Orders
Easy Line is not responsible for stock shortages, delays, defects, or counterfeits of the Items.
6.3. Liability of Users
Users are responsible for their access to the Site and their use of the internet. Easy Line disclaims all liability for direct or indirect damages.
7. General Provisions
7.1. Modification of the General Terms and Conditions
Easy Line may modify the General Conditions at any time. The use of the Site implies acceptance of the Conditions in force.
7.2. Severability
If any provision is found to be invalid, the remaining provisions shall continue to apply.
7.3. Governing Law and Jurisdiction
These Conditions are governed by French law. Any dispute shall fall under the exclusive jurisdiction of the French Courts.
